SHOWCASE™ COMMERCIAL MEDIA PLATFORM Updated: July 22, 2021
These are the terms and conditions (the “Agreement”) governing your participation in the SHOWCASE Commercial Media Platform (the “Platform”). By registering for, or logging into the Platform, you agree to these terms, which form a binding legal agreement between Online Expos, LLC (“OEI” or “we/us”) and yourself (“User” or “you”). If you are registering on behalf of another individual, it is your responsibility to ensure the person participating is aware of these terms and accepts them. By completing the registration on behalf of another individual you are warranting that you have made the User aware of these terms and that they have accepted these terms.
1 User Requirements
1.1 Access: Your registration entitles you to participate in the Platform for the duration specified in your registration. 1.2 Platform Content: You acknowledge and agree that OEI, in its sole discretion, reserves the right to change any and all aspects of the Platform, including but not limited to, the Platform name, themes, content, program, speakers, performers, hosts, moderators, venue, and time. 1.3 OEI may change the visual and graphic style and/or the Platform configuration at its sole discretion. 1.4 You must be at least 18 years of age to be a User of the Platform.
2 Prohibited Conduct
2.1 Limitations on Use. By registering for participation in an OEI Platform you agree not to sell, trade, transfer, or share your access link and/or code. 2.2 Disruptive Conduct: You acknowledge and agree that OEI reserves the right to remove you from the Platform if OEI, in its sole discretion, determines that your participation or behavior create a disruption or hinder the Platform or the enjoyment of the Platform content by other Users. 2.3 Recording, Live Streaming, and Videotaping: Users may not record or broadcast audio or video of sessions or events on the Platform without the express consent of OEI and any other subject matter stakeholder.
3 Fees and Registration
3.1 Payment: the payment of any applicable fee for the Usership on the Platform is due upon registration. If such payment is insufficient or declined for any reason OEI may refuse to allow you to access the Platform and shall have no liability in that regard. 3.2 Refunds: All payments are non-refundable except as otherwise expressly provided herein. The entire Platform Participation Fee must be paid in full prior to the Platform access.
4 Cancellation and Quality Assurance
4.1 If the Platform is interrupted or interfered with by virtue of any cause, this Agreement may forthwith be terminated or cancelled by OEI without OEI being liable in damages or otherwise to the User. OEI shall also not be responsible for delays, claims, demands, damages, losses, increased costs, liabilities, changes, actions, expenses or any other unfavorable direct or indirect, consequential or otherwise conditions arising by virtue of any cause not within the control of OEI. Upon termination or cancellation as aforesaid, OEI shall not be liable to the User other than for a refund of the contract price paid by the User prorated on the basis of the number of event days remaining.
5 Platform Registration Confirmation
5.1 Once you have completed your registration, you will receive your registration confirmation by email. Please ensure that your valid email is entered correctly on the registration form. Be sure to check your junk email box too in case any of your Platform email(s) are caught by spam filters. 5.2 You will receive essential information for registered attendees electronically at the email address and mailing address that are provided on your registration form.
6 Privacy Policy (User)
6.1 Personal Data
6.1 “Personal Data” is any information that enables us to identify you, directly or indirectly, by reference to an identifier such as your name, identification number, location data, online identifier or one or more factors specific to your physical or social identity
6.1.1 We may collect and process the following Personal Data: Contact information, which you provide when corresponding with us by phone, email or otherwise. The information you give us may include your name, address, email address and/or phone number; Social Media information, which you may chose to link or otherwise incorporate into your Platform Profile; Purchase information, relating to purchases of delegate passes and Platform participation, either in-person or via our Site; Technical information, including the Internet protocol (IP) address used to connect your computer or device to the Internet, browser type and version, time zone setting, browser plug-in types and versions, operating system and platform; Information about your visit, including pages you viewed or searched for, page response times, download errors, length of visits to certain pages, page interaction information such as scrolling, clicks, and mouse-overs); and 6.1.2 We may use Personal Data that you provide directly to us for the following purposes: to carry out our obligations arising from your Platform registration, or any other contract entered into between you and us and to provide you with the information, products and Platform registration services that you request from us; to organize Platform(s) and Usership(s) that you have purchased or registered for, and to provide you with information, and other materials, relating to the content of the Platform, the speakers, sponsors and other attendees; to provide our newsletter and other publications, provided you have given your consent; to respond to your questions and provide related Platform registration services; to provide you with information about other Platforms, products and services we offer that are similar to those that you have already purchased, provided you have not opted-out of receiving that information; to provide you, or permit selected third parties to provide you, with information about Platforms, products or services we feel may interest you, provided you have given your consent; to notify you about changes to our Platform(s). 6.1.3 We may share your Personal Data for the purposes described in this Notice with: a User of our group partners, suppliers and sub-contractors, for the performance of obligations arising from your Platform registration analytics and search engine providers that assist us in the improvement and optimization of our Site trusted third-party companies and individuals to help us provide, analyze, and improve the Site and our Platform registration services (including but not limited to data storage, maintenance services, database management, web analytics and payment processing) 6.1.4 We will never sell or rent your Personal Data to third parties without your opt-in consent
6.2 Non-Personal Data
6.2.1 We may collect and process the following Non-Personal Data that is sent to us automatically by your web browser and we may use this information to generate aggregate statistics about visitors to our Site, including, without limitation: IP addresses Browser type and plug-in details Device type (e.g., desktop, laptop, tablet, phone, etc.) Operating system Local time zone
6.3 Transfer of Personal Data outside of the European Economic Area (“EEA”) and international users
We are headquartered in the United States. Your Personal Data may be accessed by us or transferred to us in the United States or to our affiliates, partners, merchants, or service providers who are located worldwide. All data collected by OEI from the Platform is processed, handled and stored in a secure ISO 2001 certified facility. If you are accessing the Platform from outside the United States, be aware that your information may be transferred to, stored, and processed in the United States where our servers are located and our central database is operated. By registering on the Platform you consent to any transfer of this information.
6.4 Links to third party sites and services
Our Sites may contain links to third party websites, applications and services not operated by us. These links are provided as a service and do not imply any endorsement by us of the activities or content of these sites, applications or services nor any association with their operators. OEI is not responsible for the privacy policies or practices of any third-party including websites or services directly linked to our Service. We encourage you to review the privacy policies of any third-party site that you link from our Service.
6.5 Your rights
6.5.1 Correction and removal: If any of the information that we have about you is incorrect, or you wish to have information (including Personal Data) removed from our records, you may do so by contacting us at privacy@showcases.live. 6.5.2 Opting out: Additionally, if you prefer not to receive marketing messages from us, please let us know by clicking on the unsubscribe link within any marketing message that you receive, by sending a message to us at marcom@showcases.live.
6.6 Your European rights
6.6.1 FOR EUROPEAN RESIDENTS ONLY. You have the right to ask us not to process your Personal Data for marketing purposes. We will usually inform you (before collecting your Personal Data) if we intend to use your Personal Data for such purposes or if we intend to disclose your information to any third party for such purposes. You can exercise your right to prevent such processing by checking certain boxes on the forms we use to collect your Personal Data. You can also exercise the right by contacting us using the Contact Us section on our Site.
6.6.2 Under European data protection law, in certain circumstances, you have the right to:
Request access to your Personal Data. You may have the right to request access to any Personal Data we hold about you as well as related information, including the purposes for processing the Personal Data, the recipients or categories of recipients with whom the Personal Data has been shared, where possible, the period for which the Personal Data will be stored, the source of the Personal Data, and the existence of any automated decision making. Request correction of your Personal Data. You may have the right to obtain without undue delay the rectification of any inaccurate Personal Data we hold about you. Request erasure of your Personal Data. You may have the right to request that Personal Data held about you is deleted. Object to processing of your Personal Data. You may have the right to prevent or restrict processing of your Personal Data. Request restriction of processing your Personal Data Request transfer of your Personal Data. You may have the right to request transfer of Personal Data directly to a third party where this is technically feasible.
6.7 Your communications on the Platform
6.7.1 Moderation of the Message service: Messages that you send using the Platform’s internal Messaging System are subject to moderation in order to ensure adherence to these Terms and Conditions and to prevent harassment, bullying and other abuses to the System. Invitations to Book a Meeting are also moderated for these reasons.
6.7.2 Chat service:
the contents of your Chat messages are NOT moderated, as we assume that all parties involved are participating in the Chat voluntarily.
6.7.3 Messaging Ombudsman: If you witness suspicious, dangerous or abusive behavior by anyone on the Platform’s Messaging or Chat services, please report the behavior by sending an email to support@showcases.live. Please include a screenshot image of the Message or Chat if possible.
6.8 Your visibility on the Platform
6.8.1 Non-searchable Profile:
You will have the opportunity to make your personal Profile “non-searchable”. This means that your Profile will not be included in any Search Results that another User may see when they perform a Search on the Platform.
6.8.2 Profile Data transmitted to Exhibitors you visit:
if you visit an Exhibit on the Platform, your Profile data (including your email address) will be made available to the Exhibitor in their Analytics Report. Your Profile will be included in the Exhibitor Analytics Report even if you have made your Profile non-searchable.
7 Intellectual Property
7.1 All intellectual property rights in and to the Platform, the Platform content, and all materials distributed at or in connection with the Platform are owned by OEI, or the Platform exhibitors, sponsors or speakers presenting at the Platform. You may not use or reproduce or allow anyone to use or reproduce any trademarks or other trade names appearing at the Platform, in any Platform content or in any materials distributed at or in connection with the Platform for any reason without the prior written permission of OEI.
7.2 For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by OEI or any of its affiliates; nor does this Agreement grant to you any right or license to any other intellectual property rights of OEI or its affiliates, all of which shall at all times remain the exclusive property of OEI and its affiliates. 8 Use of Logo and other Branded Material If you are an Exhibitor, Sponsor, or other material Contributor to the SHOWCASE platform, you explicitly authorize OEI to use your name, logo and/or trademark, or other branded material that you have made available on the SHOWCASE without notice to or consent by you, in connection with certain specific promotional materials that OEI may disseminate to the public. The promotional materials may include, but are not limited to, newsletters, brochures, video tape, internet websites, press releases, advertising in newspaper and/or other periodicals, and any other materials relating the fact that you are a participant in the SHOWCASE platform, and such materials may be developed, disseminated and used without your review. Nothing herein obligates OEI to use your name, logo and/or trademark, or other branded materials in any promotional materials of OEI.
9 Compliance with Laws
While using the Platform, and for the duration of the User’s Usership on the Platform, User agrees to comply with all applicable laws governing online content and conduct. User will refrain from abuse, bullying or other forms of abuse.
10 Cookies
10.1 Definition of Cookies: Cookies and similar technologies are very small text documents or pieces of code that often contain a unique identification code. When you visit a website or use a mobile application, a computer asks your computer or mobile device for permission to save this file on your computer or mobile device and gain access to information. Information collected through cookies and similar technologies may include the date and time of the visit and how you use a particular website or mobile application. 10.2 Why do we use cookies: Cookies make sure that during your visit of our online shop you remain logged in, all items remain stored in your shopping cart, you can shop safely and the website keeps running smoothly. This site allows contributions from others and provides a platform for users and guests to present content, leave comment, post messages on message boards, chat areas, bulletin boards, e-mail functions, forums and other interactive areas as a part of the Platform. Such areas may be open to the public generally, to all Users of the Platform site, or to a select group of Users in a specific Platform group. OEI is not responsible for the content or accuracy of any information posted on the Platform. The views and opinions stated on The Platform by contributors are their own and their presence on The Platform does not imply an endorsement of them or any entity they represent on the part of OEI. Any reference to a specific product or entity does not constitute an endorsement or recommendation by OEI. Furthermore, the material and information contained on this website is for general information purposes only. By using the Platform, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. OEI does not generally review content provided by our users, guests or other contributors. OEI is not responsible for others’ (including other contributors’) content or information and cannot always prevent misuse of the Services. By participating in The Platform, you agree OEI is not responsible for any such misuse. TO THE FULLEST EXTENT PERMITTED BY LAW, OEI, INCLUDING ITS AFFILIATES, WILL NOT BE LIABLE IN CONNECTION WITH YOUR USE OF THE PLATFORM FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. OEI AND ITS AFFILIATES WILL NOT BE LIABLE TO YOU IN CONNECTION WITH YOUR USE OF THE PLATFORM FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO LINKEDIN FOR THE SERVICES DURING THE TERM OF YOUR USE OF THE PLATFORM, IF ANY, OR (B) US $100, WHICHEVER IS LESS.
11.3 Governing Law
This Agreement, and all claims or causes of action (whether in contract, tort, statute or treaty) that may be based upon, arise out of or relate to this Agreement, or the negotiation, execution or performance of this Agreement, shall be governed by the laws of the State of New Jersey and construed and enforced in accordance with the laws of the State of New Jersey.
